Terms of business for Zoom users

1. Purchase and Fees

• Order Agreement: Each order includes a description of services/products, fees, and terms. Acceptance is confirmed by the client's signature or through the use of products/services.
• Fees & Payment: Fees are quoted in GBP, payable in advance, and non-refundable, exclusive of VAT and travel expenses (if applicable). Spotted Zebra may adjust fees upon renewal.
• Invoicing: Fees are invoiced at the start of each term and due within 30 days. Late payments may incur interest and suspension of services.

2. Ownership and Intellectual Property

• Client Data: Ownership of all client data remains with the client.
• Spotted Zebra Property: Intellectual property related to Spotted Zebra’s products and services is retained by Spotted Zebra. Clients are granted a non-transferable license for internal use only.

3. Products and Services Use

• Services will be provided with reasonable skill and care. Restrictions apply regarding the use, modification, and distribution of Spotted Zebra’s software and materials.
• Clients must prevent unauthorized access and are responsible for user compliance.
• Spotted Zebra does not guarantee uninterrupted services or the absence of viruses.

4. Client Obligations

• Clients are responsible for providing necessary cooperation, information, and fulfilling specified deliverables to facilitate service delivery. Compliance with applicable laws and maintenance of secure network connections are required.

5. Indemnification

• By Spotted Zebra: Protection against third-party IP claims relating to Spotted Zebra's products, subject to conditions.
• By Client: Client indemnifies Spotted Zebra against claims arising from misuse or non-compliance with the terms.

6. Limitations of Liability

• Spotted Zebra is not liable for indirect, special, or consequential losses. Liability is limited to the total fees for the first 12 months of the agreement, except in cases of personal injury, death, or fraud.

7. Confidential Information

• Confidentiality obligations apply for both parties regarding shared business and operational information, valid for three years post-termination.

8. Termination

• Orders automatically renew unless terminated by either party with 30 days' notice. Immediate termination is possible for non-payment or material breach. Upon termination, use of Spotted Zebra’s products/services must cease.

9. Consulting Services

• Consulting services are available and may be charged based on time or fixed fees, as specified in the order.

10. General Provisions

• This agreement is governed by the laws of England and Wales. Notices must be delivered in writing. The entire agreement supersedes prior communications and cannot be modified without written consent.
